These Terms of Service ("Terms") govern your access to and use of the website and services provided by Elda Ventures, LLC ("Elda Ventures," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Services

Elda Ventures is a venture studio that builds, develops, and operates AI software applications. Our services may include software development, consulting, licensing of software products, and related professional services ("Services"). The specific scope of any engagement will be defined in a separate agreement or statement of work.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use our Services. By using our Services, you represent and warrant that you meet these requirements.

3. Accounts

If you create an account with us, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

4. Payment Terms

Fees for our Services are set forth in the applicable agreement or invoice. Unless otherwise stated:

• All fees are quoted in U.S. Dollars (USD)
• Payment is due within 30 days of invoice date
• We accept payment via bank transfer and major credit cards (Visa, Mastercard, American Express) processed through Stripe
• Late payments may be subject to interest at 1.5% per month or the maximum rate permitted by law, whichever is less

5. Refund Policy

Refund eligibility depends on the nature of the engagement:

• Software subscriptions: You may cancel at any time. Refunds for prepaid subscription periods are available within 30 days of payment. After 30 days, no refunds will be issued, but your access will continue through the end of the paid period.
• Professional services: Fees for services already rendered are non-refundable. If you cancel a project before completion, you will be billed for work completed to date.
• Disputes: If you believe a charge is incorrect, contact us at billing@eldaventures.com within 30 days of the charge.

6. Cancellation Policy

Either party may terminate an engagement with 30 days' written notice unless otherwise specified in a separate agreement. Upon cancellation, you remain responsible for any outstanding fees for services rendered or subscription periods already begun.

7. Intellectual Property

Unless otherwise agreed in writing, Elda Ventures retains all intellectual property rights in any software, tools, frameworks, and materials developed as part of our venture studio operations. Specific IP ownership and licensing terms for client engagements are defined in the applicable agreement.

8. Confidentiality

Each party agrees to maintain the confidentiality of any proprietary or non-public information disclosed by the other party in connection with the Services.

9. Limitation of Liability

To the maximum extent permitted by law, Elda Ventures shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify and hold harmless Elda Ventures and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our Services or violation of these Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

13. Dispute Resolution

Any dispute arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
